Terms of Service

These Terms of Service ("Terms" or "Agreement") govern your access to and use of the MyGuestStar platform and services ("Service") operated by MyGuestStar ("we", "our", or "us"). By creating an account, clicking to accept, or otherwise using the Service, you agree to be bound by these Terms in their entirety. If you do not agree, do not use the Service.

1. Description of Service

MyGuestStar is a review management platform designed for restaurant and local business owners. The Service allows authorized users to:

• Connect their Google Business Profile, Facebook Page, and Yelp listing to sync public customer reviews into a unified dashboard.
• View, organize, and respond to reviews across all connected platforms from a single interface.
• Generate AI-assisted response suggestions for customer reviews using artificial intelligence.
• Monitor their business Reputation Score, sentiment analytics, and review activity.
• Receive instant alerts for new or negative reviews.

2. Account Registration and Eligibility

To use MyGuestStar, you must create an account using a valid email address or a Google account. By registering, you represent and warrant that:

• You are at least 18 years of age.
• You have the legal authority to accept these Terms on behalf of yourself or the business entity you represent.
• All information you provide during registration is accurate, complete, and current.
• You will maintain the confidentiality of your account credentials and are solely responsible for all activity that occurs under your account.

You must notify us immediately at info@mygueststar.com of any unauthorized use of your account. MyGuestStar will not be liable for any loss or damage resulting from unauthorized use of your account.

3. Subscription Plans and Billing

• Free Trial: All new accounts receive a 30-day free trial of the Starter plan features. No credit card is required to start the trial.
• Starter Plan: $19 USD per month, billed monthly through Stripe after the free trial ends.
• Pro and Business Plans: Additional plans at $39 and $69 per month respectively, available when launched. Features and pricing may evolve; active subscribers will be notified 30 days in advance of any changes.
• Billing: All subscriptions are billed monthly in advance through Stripe. You authorize MyGuestStar to charge your payment method on the subscription renewal date.
• Cancellation: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. No partial-month refunds are issued.
• Failed Payments: If a payment fails, we will notify you and attempt to charge the payment method again. If payment remains outstanding after 7 days, the account may be suspended until payment is resolved.
• Price Changes: We reserve the right to modify subscription pricing with at least 30 days advance notice to active subscribers by email.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in strict compliance with these Terms and all applicable laws and regulations. You agree not to:

• Use the Service to generate, post, or solicit fake, misleading, incentivized, or fraudulent reviews on any platform.
• Engage in "review gating" — filtering or redirecting customers based on whether they are likely to leave a positive review.
• Violate the terms of service, policies, or guidelines of Google, Meta (Facebook), Yelp, or any other third-party platform integrated with the Service.
• Use the Service to harass, defame, threaten, or discriminate against any person or group.
• Attempt to gain unauthorized access to any part of the Service, its infrastructure, or other users' accounts.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
• Use automated tools, bots, or scrapers to interact with the Service beyond its intended use.
• Reproduce, sell, resell, or commercially exploit any portion of the Service without our prior written consent.
• Upload or transmit viruses, malware, or any code designed to disrupt, damage, or limit the functioning of the Service.

Violation of these policies may result in immediate suspension or termination of your account without refund.

5. AI-Generated Content

MyGuestStar uses artificial intelligence to generate suggested responses to customer reviews ("AI Suggestions"). You acknowledge and agree that:

• AI Suggestions are generated automatically and may not always be accurate, complete, or appropriate for your specific context.
• You are solely responsible for reviewing, editing, and approving any AI Suggestion before publishing it to any review platform.
• MyGuestStar is not liable for any consequences arising from AI-generated content that you choose to publish without adequate review.
• You must disclose your use of AI-assisted responses to your customers where required by applicable law.
• We do not use your data or your customers' data to train AI models. AI processing is performed by Anthropic under contractual restrictions that prohibit training on your data.

6. Third-Party Integrations

MyGuestStar integrates with third-party platforms including Google, Meta (Facebook), and Yelp. Your use of these integrations is also governed by the terms of service of those respective platforms:

MyGuestStar is not responsible for the availability, performance, accuracy, or policies of third-party platforms. Changes to third-party APIs or policies may affect the functionality of the Service, and we will not be liable for any such impact.

7. Your Data and Intellectual Property

You retain full ownership of your business data, review content, and any information you provide to the Service. By using the Service, you grant MyGuestStar a limited, non-exclusive, worldwide, royalty-free license to process, store, and display your data solely for the purpose of providing the Service to you.

MyGuestStar retains all rights, title, and interest in and to the platform, its design, code, trademarks, and content. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

We may use anonymized and aggregated usage data derived from your use of the Service to improve the platform and generate industry insights, provided such data cannot be used to identify you or your business.

8. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. We handle your data in strict accordance with our Privacy Policy and all applicable data protection laws.

9. Service Availability and Modifications

MyGuestStar will use commercially reasonable efforts to maintain the availability of the Service. However, we do not guarantee uninterrupted, error-free, or completely secure access to the Service at all times. We reserve the right to:

• Modify, suspend, or discontinue any feature or aspect of the Service at any time, with reasonable advance notice where practicable.
• Perform scheduled or emergency maintenance that may temporarily affect availability.

If we make a material change that significantly reduces the core functionality of the Service, you may cancel your subscription and receive a pro-rated refund for the unused portion of your current billing period.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MYGUESTSTAR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT GUARANTEE SPECIFIC RESULTS FROM THE USE OF THE SERVICE, INCLUDING ANY IMPROVEMENT TO YOUR BUSINESS REPUTATION, REVIEW RATINGS, OR ONLINE VISIBILITY.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYGUESTSTAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF MYGUESTSTAR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, MYGUESTSTAR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO MYGUESTSTAR IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless MyGuestStar, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you submit, post, or transmit through the Service.

13. Termination

Either party may terminate this Agreement at any time:

• By you: cancel your subscription at any time through account settings or by contacting info@mygueststar.com. Termination takes effect at the end of the current billing period.
• By us: we reserve the right to suspend or permanently terminate your account immediately and without prior notice if you violate these Terms, engage in fraudulent activity, or cause harm to other users or the platform. In cases of termination for cause, no refund will be issued.

Upon termination, your right to access the Service ceases immediately. Your data will be deleted within 30 days of account termination as described in our Privacy Policy.

14. Changes to Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or Service features. We will notify you of material changes by email and by posting the updated Terms on this page at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree with the changes, you may cancel your subscription before they take effect.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
